Terms and Conditions

By participating in Noetic's Trade-In Program, you agree to the obligations outlined below. It is your responsibility to read this agreement carefully and understand your obligations.

Noetic, Inc. (hereafter known as "Noetic") operates this Trade-In Program. In these terms and conditions, the GPS Noetic is buying back from you is referred to as the �Item.�

You agree to the terms and conditions set forth below regarding the Trade-In Program offer.

1. Companies, resellers, distributors and the like are not eligible for the Trade-In Program, only individual end users.
   
   
2. You are the only owner of the Item and have the right to transfer ownership of the Item. No other person or company has any ownership interest of any kind in the Item.
   
   
3. The serial number on the Item is original and has never been tampered with.
   
   
4. You agree to ship the Item to Noetic within 15 days of placing your Trade-In order.
   
   
5. You agree that Noetic will have no liability to you if the Item is lost during shipping.
   
   
6. When you place a Trade-In order and/or receive confirmation of placing a Trade-In order, Noetic has not agreed to fulfill the Trade-In offer. Noetic's acceptance of the Trade-In offer only occurs when Noetic has received and issued a credit for your Item.
   
   
7. No cash will be given for your Item. Upon receipt of the Item by Noetic, a credit will be issued to the payment method on file. The Trade-In Program credit applies only towards the purchase of a RightWay 550.
   
   
8. Limit of one (1) Trade-In GPS per new RightWay 550 unit purchased.
   
   
9. Noetic may reject any Item for any reason and may limit the quantity of Items accepted.
   
   
10. If and when Noetic accepts the Item, you transfer all right, title and interest in the Item to Noetic. Your transfer to Noetic may not be revoked.
    
    
11. Upon receipt of the Item by Noetic, all information, data, and software on the Item may be deleted and unrecoverable.
    
    
12. If Noetic is damaged or incurs any kind of expense because you were not authorized to transfer ownership of the Item, because of the condition of the Item, or because of any software or other information stored on the Item, you agree to defend, indemnify and hold Noetic harmless from any liability, claim, or expense associated therewith.
    
    
13. You agree that the only location for any legal action between you and Noetic will be in the state or federal courts located in Minnesota.
    
    
14. Offer not available on-line. Valid in the United States only. Void where prohibited.
